Gateway, you forgot to mention it costs a home owner in W. Elkton $65.00 a month just for the new system. I believe at the meeting there were 3 ? council members who have not paid either. (unless they are off the new list as of 5-19-08)

Then, the OGDC had the audacity to kick multiple city officials AND Jane Marshall out of an organizational meeting with Wesler sitting right there at the table quietly. It was declared that the meeting was a private corporation's board meeting and not open to the public -- except that the meeting was held in public facilities and the only money that the OGDC had received to date was a cash payment of tax dollars that was signed off on by David Wesler acting as County Commissioner while also sitting on the board of the OGDC.


Great, great, summation. The whole thing stinks, and it goes deeper than this.


And, for those who haven't been paying attention, we finally get a public official in the county administration offices who is "working for the people", and she is "pushed" out the door by the Republican Star Chamber.

Enough to cause burn out.

Retention of the companies here should be the priority. Spending so much and then not having anything left to help or nothing set up to provide aid after so many years is a shame. The thing is that even if the city had remained with OGDC there still is nothing there. No TIFF, No Enterprise Zone, No JEDD, nothing. The money would have been better spent buying property for an Industrial Park or saving it for aid.

In an effort he says is only to "help out the citizens of Eaton and Preble County," Eaton Compressor owner Matt Cain addressed city council on Monday, May 19, questioning what he perceives as a need for "new leadership, cooperation, and kindness in our government."

Cain said he "wants people to know" the truth about what he calls the "struggles" he has dealt with in trying to expand his company in Eaton, struggles he claims have driven him to move the business to Englewood, where officials have offered him a deal worth approximately $1 million.

One issue Cain finds at the crux of the matter is the absence of an Enterprise Zone in Eaton.

Enterprise Zones are designated areas in which businesses can receive tax incentives in the form of tax exemptions on eligible new investments.

During a Feb. 11 special meeting, Mayor Bob Stonecash explained city staff had been working on an agreement with Cain, in an effort to construct a larger facility. EC is partnering with a Chinese business and plans a company expansion which could bring in an additional 40 jobs. Officials had been advised the City of Brookville was "courting" Eaton Compressor, offering incentives for the business to relocate there.

Original plans called for the new facility to be completed by early July, according to officials. During the February special meeting, council discussed what incentives were available for them to provide Eaton Compressor.

Because an Enterprise Zone has to be in place before construction begins on a project, council members discussed the option of offering $20,000 in infrastructure, and agreed to make the offer to Cain. Members also decided to speak with county commissioners regarding what help the county might be able to offer the business.

At the May 19 meeting, Cain read his emotionally charged statement, sharing what he calls "his side of the story" and questioning comments and actions of council regarding his project, both in public session and in alleged private meetings.

"Our company has been in business over 30 years. I started with my dad (Marvin Cain) at the age of 10 in the basement of our home. We have grown to a nice-sized company and are getting bigger every day! We are looking to grow our current company and our new company 'Eaton Max,' up to 70 employees in the next 5-10 years' time.

"We put up a $25,000 deposit on some land out by Rocky Run Drive which connects to the fairgrounds. We have lost our entire deposit because tax abatements could not be worked out, and the city was requiring us to build a road in to the site for $150,000.

"Other cities have an advantage with 'TIF' programs for the entire county. Eaton is way behind, and in my opinion, needs to work harder than ever to get newer people elected into office.

"Besides, building roads should be the city's job and not the businesses coming in and bringing a tax base of employees."

Cain continued: "My intentions for this meeting and in inviting everyone to attend, is not for any personal gain but to just help out the citizens of Eaton and Preble County.

"We have talked to Eaton and have ended up losing our $25,000 deposit for the land on Rocky Run Drive.

"We have talked to Monroe Township, headed up by Eddie Glander and his staff. They were super nice people and it would have worked if the landowner wouldn't have gone from $23,000 per acre to $75,000 per acre!

"The next step was in Washington Township and also went great. They were very nice guys and wanted to help out.

"The final stop was Englewood. They saw my business on the front page of the Dayton Business Journal. They are in direct competition with Brookville because they are very close in location to each other. They made me an offer I couldn't refuse.

"My intentions and goals are to tell everyone here, how Monroe Township, Washington Township, the City of Brookville and the City of Englewood bent over backwards to try and help my growing company. Going into their meetings was nothing like talking to the City of Eaton.

"We have had people in the City of Eaton tell bald-faced lies to us," Cain said, noting he had proof. "I hope this might help you and make you think long and hard, when voting for our officials in the future. We need 'leadership' and more 'cooperation' and kinder people in our government. For everyone!"

Saying Eaton city officials had made him "very angry," Cain went on to share a list of statements and questions regarding a few official actions, but even more concerning various incidents and discussions he says occurred outside public meetings, in private and personal conversations.

The City of Englewood has offered Cain acreage on which to build his facility, and a 15-year tax abatement. Eaton will lose revenue, he said, when Eaton Compressor leaves, including 17 jobs with the current company, and 40-50 more coming in with the new expansion.

"All the positions are going to Montgomery County," Cain said. "Not to mention all the businesses here which will be losing out as well."

Cain cited several local businesses he says his company spends "thousands of dollars" with in the city.

Cain allowed council to see the contract prepared with Englewood, and members agreed the offer was a very good one.

Cain asked council and city staff to address his questions and concerns, and noted, although his business was moving, he would remain in the community and was in the process of establishing a foundation in his father's name to help fund $3 million for a football stadium for Eaton High School.

Stonecash, in turn, read a prepared statement on behalf of himself and city council, detailing what city officials have done in the process of dealing with Eaton Compressor's requests.

"Last year city staff had several meetings with John Buckley, of John Buckley Contracting, who was researching a possible location for an unknown company. At that time, staff worked with Mr. Buckley regarding possible locations, zoning issues, infrastructure, and other topics.

"In particular, a site off of Rocky Run Drive was selected and discussed. At about that time, Mr. Buckley advised city staff that the development would be for Eaton Compressor.

"Thereafter, staff offered to have an informal meeting with Mr. Buckley and Mr. Cain. The purpose of this meeting was to start talking about the project informally to generate planning and preliminary ideas. This is a common practice that the city offers to developers as this meeting identifies policy and procedures which usually results in time and cost reductions for the developer and the city as a project begins.

"At this meeting, the issue of a street, water and sanitary sewer extension was discussed. Eaton Compressor and the property owners asked if the city would make these extensions or participate in sharing the costs. Staff responded that typically these types of costs were the responsibility of the owner or the developer. However, staff brought up the concept of using an economic development tool that the city had used in the past, known as a TIF (Tax Increment Financing).

"Staff suggested this could be researched as a means to extend the necessary infrastructure or at least a portion of the infrastructure. It was pointed out to Eaton Compressor that this process could take as long as 6 to 9 months to receive final approval."

According to city officials, Cain then advised the city his company could not wait 6-9 months," and discussion ended regarding a TIF program.

"The proposed site plan for this development required a staff review and final approval by the Planning Board," according to the statement. "Mr. Cain was adamant that this procedure be expedited. However, Mr. Cain could not meet the deadline to have a final site plan ready for the Planning Board's next scheduled meeting. Although it had not been previously permitted, Mr. Cain was allowed to submit a preliminary site plan so as to move the project rapidly forward.

"At about this same time, Mr. Cain advised the City of Eaton that the City of Brookville was offering him $400,000 in tax abatements, land at a lower cost, and infrastructure to the site. We were advised on several occasions that if the City of Eaton did not or could not match the Brookville offer, then Mr. Cain was going to relocate to the City of Brookville.

"Eaton City Council then called a special meeting to discuss these issues. It was the city's understanding from the beginning of this project discussion that the priority for Eaton Compressor was to complete the site with building construction as soon as possible.

"Consequently, staff moved in that direction and earnestly worked to meet Mr. Cain's needs and requests. Regardless, Council agreed to offer Mr. Cain the extension of infrastructure at a value not to exceed $20,000. This would also benefit the project and at the same time provide a loop to a waterline, which would also benefit the citizens. This offer was presented to Mr. Cain but no response was received to the offer.

"At this same meeting, City Manager, Dave Daily offered to research additional economic assistance in order to explore other financial options. Immediately the next day, Mr. Daily began making calls to appropriate people to discuss available options. Consequently, a conference call with representatives from the Ohio Department of Development was scheduled. Councilman Maffett arranged for the attendance of a capital financing specialist from Dayton to attend this meeting.

"The conference call was lengthy as ODOD officials discussed numerous options available to Mr. Cain and Eaton Compressor. Additionally, during this meeting, Mr. Daily advised Mr. Cain that he would gladly bring the discussion of an Enterprise Zone before Council for consideration. Mr. Cain stated this was not an option as his opening date was set for July 4, 2008 and the company would not deviate from that time.

"At the conclusion of the conference call, Mr. Cain was advised that applications relating to economic development would be e-mailed to the city manager the next day. Additionally, ODOD (Ohio Department of Development) officials stressed the need to move forward with the applications as soon as possible.

"As this meeting was concluding, Mr. Daily asked Mr. Cain to think about the various topics and options discussed and to give him a call the next day. Mr. Daily has not heard from Mr. Cain since that meeting. After talking to Mr. Daily, Mr. Cain informed me (Mayor Stonecash) that if the city did not put in the street, water and sewer, then he was going to Brookville.

"In short, the city believes that council and staff have spent a great amount of time trying to assist Mr. Cain and respond to his company's accelerated schedule. Mr. Cain was offered various, economic assistance on several occasions. The city has been told numerous times to match other offers or he would leave.

"To date, Mr. Cain has not accepted the city's offers of economic help, he has not presented a business plan, nor has he offered any commitments that would warrant an expenditure of the taxpayers' money. Unfortunately, the city cannot fund private businesses, including Mr. Cain's personal business venture into the hundreds of thousands of dollars with city funds."

According to city officials, in the past 10 years, the City of Eaton has committed approximately $14 million which relates directly or indirectly to economic development and the creation of new jobs.

"In the past 25 years, the City of Eaton has experienced more economic development than in any other period in our 200-year history," Stonecash said. "With all of the doom and gloom that we hear about in Ohio, this community is continually striving for, and succeeding in steady economic growth."

Stonecash addressed Cain in closing: "We understand that you have researched at least seven locations for your business. Obviously and rightfully you will make a business decision and select the location that best serves your needs. We understand that, and we wish you the best of luck with your venture."

City officials then moved back into their regular business meeting and adjourned to executive session to discuss labor/personnel issues. Cain, still seeking answers to his concerns, was asked to contact city staff and schedule a meeting.

2). The City officials in Eaton have made me very angry. And I mean angry! When you hear what they have said and done, it would make even a preacher cuss. The City of Eaton officials telling me to move to another county is wrong! I have many witnesses to prove it.

Bob Stonecash

o Hal Yoder told me about tax abatements.

o So I called Bob Stonecash about them. When I found out that Brookville

was offering 10 to 15 year tax abatements. These abatements were 100 percent of the building improvements. Only the land would be taxed. If the building cost is at least $1,000,000 = 10 yr abatement. If the building cost is at least $2,000,000 = 15 yr abatement.

a I told Bob Stonecash about the tax abatements that Brookville was offering to our business

o Bob commented that everybody needs to pay their fair share of taxes!

o I commented to Bob --- Don't the extra job tax reviews offset the tax abatements? He said they couldn't offer what Brookville was because Brookville had an Enterprise Zone set-up. Bob said they would have to get Enterprise zones in place which would take some time.

o In the city meeting about getting us a tax abatement which was printed up in the Register Herald. City manager Dave Daily said," It would take 6 to 9 months to get through the tax abatements.

o Hal Yoder was in my office this past Friday ( May 16th) and said he was RESIGNING from being Head of the Economic Land Development Program. All the Cities and Villages in Preble County are now being able (made) to get into the program for the Enterprise Zone. If a city or village doesn't get into this program, they can never enter it, ever again. If a city gets into this program they don't have to use it, ever! But, will be in it, if they ever want to.

o The city was telling me all this time that the tax abatements would take 6 to 9 months, so, we were trying and willing to wait a little longer to get the abatements if needed. Hal informed me on Friday the city wasn't even going to participate in this Enterprise zone. This means they can never get in it ever!

o My concern is not about building in Eaton anymore because we made a deal with the City of Englewood. They offered the land, free of charge, and gave me a 15 year tax abatement! This total is worth almost $1,000,000.

o Eaton IS NOT gaining any jobs especially in the small business manufacturing area. I asked Bob on the phone," In the last 10 years, How many NEW manufacturing jobs were created in Eaton?" Bob said," Henny Penny and Bullen. These are GOOD companies, but he couldn't answer about the SMALL business manufacturing jobs? The small companies are about 75% of our economic strength!!!!

o The City of Eaton is (will be) losing 17 jobs with my current company and 40-50 more with the new company in the next 5-10 years time . ALL the positions are going to Montgomery County, NOT to say all the businesses here, losing out as well. We spend thousands of dollars doing business with

these companies here in the city.

o Do you even know what an Enterprise Zone is?

o You said in a regular session meeting, you didn't know about these zones and needed to get better educated on it first.

o How do you think you can run this ENTIRE County, as a county commissioner, NOT knowing this?

o Almost all the surrounding counties are set-up for Enterprise Zones. This is why Eaton CAN'T compete with the other counties AND Eaton is not even going to GET involved in one!

o Why is Eaton dragging their feet on this issue? The entire Preble county is getting on board with it, why not the CITY?

o In the last 10 years the City of Eaton has given $600,000.00 in tax

abatements. Why couldn't we get any?

o Why did you sit in a meeting with me and Dave Daily while Dave made the comment "You need to go to Brookville, that's a no brainer!" You said NOTHING. This is WAY out of line, especially for YOU, as the MAYOR!! You would think that KEEPING jobs here, NOT sending them out of the city & county would be a MAJOR priority!!!!

o When I called you, you said that the reason you said that is because, I was going to call the news media. Is this true? And YES IT IS, that is what you told me!

o Why, when in the publics' eye are you one way during the meetings and when out, one on one with people you're another. As in different in what

you say and what you do? o The reason I say this is because of your comments about me, outside of the meetings are.

1. I don't take notes. 2. The comment about ME calling the news media. 3. Let's not forget, "Everyone needs to pay their own fair share of taxes."

4. Sitting in a meeting and letting Dave Daily say for me to GO to Brookville. Losing potentially 60 jobs and not to say all, the businesses losing out on our business in the community.

5. You also told the county commissioners to STAY OUT of helping me or talking directly with me. I have the transcripts to prove it. I called David Wesler, the county commissioner and he said, the city told him and Hal to stay out of it. You also told them, if they had an idea, they would get credit for it. " Credit for it?" This is the problem, Who gets credit for it, Rather than all sides helping me out? I mean David Wesler, Hal Yoder and Jane Marshall. The city is the bottleneck in this issue, NOT the county.

6. Why is the city always working against the county? This is a SERIOUS Problem that MUST END!

7. The county has given me 100% of their time and cooperation and by keeping the county involved, it would be easier to get RID of my company!

o During an open session meeting you made the comment " We should not be afraid to lose ONE business." This was printed in the Register Herald from that session.

o To correct your statement that you made - Eaton losing 2 businesses and UP to 70 jobs, not to mention all the businesses losing the revenue on what we buy from them, by moving out of the city/county. This is thousands of dollars LOST by you and these businesses.

o You also made the comment, " We should not HAVE to MEET these demands."

o I don't recall asking for tax abatement "demands", as you call it. We are only doing what any other business would do, with what Brookville and Englewood offered us.

o I have had SO many people in this town from businesses, attorneys and Eaton citizens say, you are WAY out of line on this matter and you shouldn't have made that comment.

o Why DID you make such a bold statement?

o When I asked you last week about this and one other, matter you commented, "It is just business Matt," Trying to cover your tracks? Joe Ferrell

o Do you remember when we were building our existing metal building in Eaton? This building is the one that sits on 1200 US Route 35 West

now.

o When this building was built, we had nothing but problems from the

city through-out the entire project.

o To avoid these problems on our new building site. John Buckley Construction, the builder, suggested that we get all parties from the city to sit down in a meeting at Kramer & Kramers' office to get straight exactly how this building would be built, so everyone was on

the same page --------with NO surprises!

o We agreed in that meeting on many things. One was that we would "NOT" use full building site plans because it was too expensive, around $52,000.00, on just one vote from the planning board. The planning board did need a set of preliminary site plans, which we AGREED upon, to see what & where the new building would sit on the property, etc ....All parties that were at this meeting agreed to go with the preliminary city plans which cost me $1,000.00, NOT $

52,000.00.

o Just a few days before us getting our new building approved through the planning board meeting. Joe Ferrell calls me and said," Matt we must have the full building site plans before we can go to the planning board." I could not BELIEVE what I just heard! He wanted me to spend $52,000.00 on these plans with just a VOTE riding on it!!! !

o This is not what we had agreed on in the special meeting at Kramer & Kramers' office. I called John Buckley and told him the news. He was not happy at all. John called Joe and told him this was not correct. After talking with Joe for some time, he told John, He had forgot that

we had agreed on this in the meeting! o I can't believe Joe and the City would expect me to go along with such a stupid idea! If the planning board votes okay, we're okay. If

they vote NO, $52,000.00 is lost!

o When we built the lean-to on Route 35 at the current location. We

had to go to a city meeting to get a variance to build it where we wanted to. On the side of the building already there. In this meeting we asked, "How close we could put this lean-to to the property line?" The city said 5 feet away. So going off of what was said and agreed to at this meeting we ordered our lean-to.

o Jim Cleavenger from Eagle Fence & Construction ordered this lean-to for the side of the new building. After we received it, Jim goes to get the building permits and the city told him we must build "15 feet" from the property line. Jim went and got the city transcripts and showed them where the city attorney had said that "5 feet" from the line was okay. Of course the city then says to go ahead and put up the building 5 feet from the line. After they were wrong again!!!

o Since we are now building in Englewood, Ohio. We have decided maybe we would sell the lean-to on this building. I called Jim Cleavenger to get the building prints that WE paid Kramer & Kramer for, which cost around $3,000.00 total. Jim said Bob Wehrley, the building inspector, called him and-said is Eaton Compressor going to build the lean-to on the existing building? Jim told him to call Eaton Compressor and hung up on him.

o So I called the city building inspectors office to talk with Bob Werhley. Jackie said he was not in. I have never dealt with Jackie directly before. She was VERY RUDE. I told her Bob Wehrley had called Jim Cleavenger and her response to that was, allegedly called. In other words calling me a liar. I had also gone up to the offices to speak with Bob Wehrley with no luck. I then called Jim Cleavenger from Eagle Fence and told him what Jackie had said about,Bob Werhley HAD called him. This is more harassment from the city.

o I finally got through to Leslie Renner. She said the city needed a paper signed that said we would have to have OUR building drawing destroyed!!!!! This is wrong, when I paid $3,000.00 for these building drawings from Kramer & Kramer, they are MINE! I own them! And if anyone would destroy them it would be ME and not the city telling me they have to.

Dave Daily

o I contacted Dave Daily the City Manager about getting tax abatements for the new building project.

o In several different meetings I had to ask you and the city for help. On building a road, tax incentives. After the meeting was coming to a close, you made the comment in front of Mayor Stonecash that we need to go to Brookville with our business. You said this was a "NO BRAINER". As a city elected official this is wrong. Even though you could not meet any of my requests.

o This would be like one of my employees sending one of my customers to my competitor. I would be outraged as the owner of my company should this happen. You boss should be talking to you about making such a comment!

o I have had SO many comments from citizens in this county and city about the comment you had made as a city official trying to KEEP jobs here. Instead you're sending them to another county.

o You also have made comments about my employees starting out at $8-10 dollars an hour and that is why you would not give the tax abatements. Many of our workers average from $10 and higher depending on their experience.

o You told me about State programs to build a road off of Rocky Run Drive after we went through with the state incentive program it was nothing, a meaningless meeting. John Buckley was going to build this road for $60,000.00 and the state program was going to build the road at prevailing wage. This means that with your state program - which I had to pay half of the cost of, the road would now cost me $90,000.00 more than without the program. This program was meaningless to our company.

o You also went along with Bob Stonecash keeping the county commissioners away from helping us in any capacity. Is this really how cooperation is done in working with the county commissioners.

o I was eating lunch at Eaton Place and many of the citizens of Eaton were asking me what we were going to do about build here. I explained our situation and all of them were wanting us to stay here and keep the jobs in Preble County. Sitting in front of me was a little old man and he said," Maybe Eaton don't want you here"! The next day I talked to one of the guys that was sitting there the day before when this comment was made by Mr. Cline. He said he could not believe that a Zoning board member would make that comment! Things need to be changed around here especially in the City of Eaton.

In Closing I hope that my frustrations are understood by the people here. My attorney has advised me that we could get a discrimination lawsuit against the city with a HUGE list of problems. I hope this meeting will turn out good for the Citizens of Eaton.

My question is this.

If Matt Cain is such the business guy, and has already made an executive decision to move his business for better terms elsewhere, then why is he spending his valuable CEO bigshot time writing long letters, threatening discrimination lawsuits, demanding answers and satisfaction from the leadership of a city that he's already passed up?? ( a decision that was very apparently made before the council even had an opportunity to fully respond)

Business is business. He got a better deal and he wants to sue the losing city?

I am going to go get 3 bids on a new car... same car. I am going to take the best deal and sue the dealership offering the worst deal.

We have a winner. At this point he is insulting himself but he has a million dollar contract with Englewood and he wants to be heard. I think his comments reveal him for what he is.

It seems like he has missed hint after hint from the city that they'd like to wet their beak a little before they met his requests. Some people just don't take bribe hints well when they are offered.
